90-Day Organic Growth Guarantee Terms

1. Why We Offer This Guarantee

Most SEO agencies ask you to pay monthly and hope for the best. We think that's backwards. If we're confident enough to take on your store, we should be confident enough to stand behind our work.

We only accept stores we genuinely believe we can grow. We assess every store before we agree to work together — and if we don't think we can hit meaningful targets, we'll tell you upfront rather than take your money. That selectivity is what allows us to offer this guarantee.

This page sets out exactly how the guarantee works, what we commit to, what we need from you, and what happens if targets aren't met. No fine print designed to get us off the hook — just clear terms so both sides know where they stand.

2. Programme Overview & Eligibility

The 90-Day Organic Growth Programme ("Programme") is available to qualifying Shopify store owners who engage Affilino Limited ("Affilino", "we", "our", or "us") for SEO and organic growth services.

To be eligible for the Programme, your store must meet the following criteria:

• Your Shopify store must be generating a minimum of $10,000 NZD per month in revenue
• You must have demonstrated product-market fit with an established customer base
• Growth targets must be mutually agreed in writing before work begins
• Affilino reserves the right to decline stores that do not meet eligibility requirements

3. How Growth Targets Are Defined

Growth targets are not pre-determined. They are agreed individually between Affilino and the client in a signed Growth Agreement before any work commences. The guarantee applies to one or more specific metrics selected from the list below — not all of them.

Eligible Target Metrics

The Growth Agreement will specify which of the following metrics the guarantee covers for your engagement:

• Organic revenue — measurable increase in revenue attributed to organic search
• Organic traffic — measurable increase in sessions from organic search
• Google page one rankings — achieving page one positions in Google search results for agreed target keywords or phrases
• Product page visibility — getting specific product pages to appear on page one of Google search results
• Collection page visibility — getting specific collection pages to appear on page one of Google search results
• Conversion rate — measurable improvement in organic traffic conversion rate

"Page one" means any position within the first page of Google's organic search results (positions 1–10) for the agreed search terms. Rankings are measured using Google Search Console data.

Measurement

• Targets are documented in a signed Growth Agreement before work starts
• Performance is measured using Google Analytics, Google Search Console, and/or Shopify Analytics as appropriate to the agreed metric(s)
• The baseline period is the 90 days immediately prior to the Engagement Start Date
• Both parties must agree on specific, measurable targets before the engagement begins

Only the specific metric(s) documented in the signed Growth Agreement are covered by this guarantee. Targets not included in the Growth Agreement are not covered.

Example

Seasonal Adjustments

Some industries experience significant seasonal fluctuations in traffic and revenue. Where relevant, the Growth Agreement will account for seasonality when setting baseline measurements and targets. For example, if your store sells seasonal products, we won't measure growth against your lowest-performing quarter unless both parties agree that's appropriate. The goal is honest, meaningful measurement — not targets designed to look good on paper.

4. What Affilino Commits To

This guarantee is a two-way commitment. Here's what we deliver during the 90-day engagement:

• A dedicated SEO strategist assigned to your store for the duration of the engagement
• A documented strategy and action plan delivered within the first 10 business days
• Monthly progress reports with clear data on the agreed metric(s)
• Fortnightly check-ins (email or call) to review progress and address any blockers
• All technical SEO, on-page optimisation, and content work as outlined in your scope of work
• Transparent communication — if something isn't working, we'll tell you and adjust the approach rather than wait until day 90

The specific deliverables and scope of work will be detailed in your signed Growth Agreement. If we fall short on our own commitments, the guarantee applies regardless of other conditions.

5. The 90-Day Guarantee

If the mutually agreed growth targets are not met within 90 calendar days from the Engagement Start Date, Affilino will continue providing SEO services at no additional cost.

• Extended work continues until the agreed targets are met, OR for a maximum of 90 additional calendar days — whichever comes first
• "Free work" means no additional fees for SEO services already within the original scope of the engagement
• The guarantee does not cover paid advertising, new scope additions, or third-party costs (e.g. software subscriptions, hosting fees, or domain purchases)

6. Conditions That Must Be Met

For the guarantee to apply, all of the following conditions must be satisfied throughout the engagement:

• Client must provide and maintain full admin access to their Shopify store, Google Analytics, Google Search Console, and Google Merchant Centre
• Client must not make unauthorised changes that undo or conflict with Affilino's work
• Client must not engage another SEO provider simultaneously during the engagement period
• Client's website must maintain at least 99% uptime (excluding scheduled maintenance)
• Client must respond to requests for approval or information within 5 business days
• Client must have paid all invoices in full and on time
• All SEO recommendations must be approved by the client, OR the client must provide written reasons for rejection within 5 business days

7. What Voids the Guarantee

The guarantee will be voided if any of the following occur:

• Client modifies, removes, or overrides work done by Affilino without prior written consent
• Client's store is suspended, penalised, or banned by Shopify or Google
• Force majeure events (natural disasters, pandemics, government actions, or other events beyond reasonable control)
• Client terminates the agreement before the 90-day period ends
• Client fails to meet any of the conditions outlined in Section 6

Google Algorithm Updates

We don't use algorithm updates as a blanket escape clause. If a confirmed Google algorithm update materially affects rankings industry-wide (as determined by independent industry sources such as Search Engine Journal, Semrush Sensor, or similar):

• The guarantee clock pauses — it does not void
• The pause lasts until rankings stabilise or for a maximum of 60 calendar days, whichever comes first
• During the pause, Affilino will adapt the SEO strategy to account for the algorithm change at no additional cost
• If the algorithm impact is so severe that the agreed targets become unachievable despite strategy adaptation (e.g. an entire product category is deindexed), both parties will negotiate revised targets in good faith. If revised targets cannot be agreed, the guarantee will end and no further free work is owed

8. Measurement & Reporting

• Affilino provides monthly progress reports throughout the engagement
• A formal 90-day assessment is conducted using the agreed-upon analytics platforms
• Both parties must agree on the final measurement within 10 business days of the assessment date
• If there is a disagreement on measurement, the dispute resolution process in Section 12 applies

9. Limitation of Liability

• The guarantee is limited to the provision of additional SEO services at no cost — it is not a financial guarantee
• Affilino is not liable for lost revenue, lost profits, or any consequential or indirect damages
• Total liability under this guarantee is capped at the total fees paid by the client during the initial 90-day engagement period

Nothing in these terms excludes or limits liability under the Consumer Guarantees Act 1993 or for fraud or gross negligence.

10. No Refund

The guarantee provides extended services, not monetary refunds. Fees paid for the initial 90-day engagement period are non-refundable. This reflects the nature of services already rendered.

11. Fair Trading Act Compliance

In accordance with the Fair Trading Act 1986:

• Growth targets are agreed individually with each client and are not pre-determined outcomes
• Past results, including case studies and performance figures, are for illustrative purposes only and do not guarantee future outcomes
• Affilino's guarantee is conditional and subject to all terms on this page
• Any marketing materials referencing the 90-Day Organic Growth Guarantee are subject to these terms

12. Dispute Resolution

In the event of a dispute relating to this guarantee:

1. The parties will first attempt to resolve the dispute through good-faith negotiation within 14 business days
2. If unresolved, the dispute will be referred to mediation under the Resolution Institute of New Zealand rules
3. Court proceedings may only be commenced after mediation has been attempted and has failed

This guarantee is governed by New Zealand law. Any proceedings will be subject to the exclusive jurisdiction of the Auckland courts.

13. Relationship to General Terms of Service

These Guarantee Terms supplement Affilino's general Terms of Service.

• In the event of any conflict between these Guarantee Terms and the general Terms of Service regarding the 90-Day Programme, these Guarantee Terms prevail
• All other terms in the general Terms of Service continue to apply
